Membership Agreement

I. General Provisions

1. The "UA BIOSCIENCE Membership Agreement" (hereinafter referred to as "this Agreement") details the terms of service that members (you) must accept and comply with when registering and using various services on the official website "ua-bio.com" (from PC, mobile, WeChat official platform, and all other channels) of NanJing UA Biotechnology Co., Ltd. (hereinafter referred to as "UA BIOSCIENCE", "we").
2. After you successfully register as a UA BIOSCIENCE member, you can log in with your member account to use the services of various sections and sub-websites on the UA BIOSCIENCE official website without separate registration.
3. Before registering as a UA BIOSCIENCE member, you must carefully read this Agreement, the UA BIOSCIENCE Privacy Policy, and other agreements or management rules for specific service sections that UA BIOSCIENCE requires you to read and accept (which will be clearly displayed or have entry points on the official website). When you confirm that you have read and accepted all terms of the above agreements and complete the registration process, the above agreements shall be established and take legal effect between you and UA BIOSCIENCE, and you officially become a UA BIOSCIENCE member.
4. This Agreement is formulated in accordance with the E-Commerce Law of the People's Republic of China and other laws and regulations, and will be revised according to changes in national laws and regulations and the operational needs of this website. The revised content will be published and comments solicited in accordance with statutory procedures. After fully listening to user suggestions, UA BIOSCIENCE will decide whether to further revise or directly effect the revised content based on actual circumstances. Once the revised content takes effect, it will immediately supersede the previous relevant content. You should regularly check the announcements, prompts, and changes to agreements, rules, and other related content on the UA BIOSCIENCE official website. You acknowledge and accept that if you do not agree with the updated content, you should immediately stop using UA BIOSCIENCE's services. If you continue to use UA BIOSCIENCE's services, it is deemed that you are aware of the changes and agree to accept them.

II. Member Registration

1. To use the various services of UA BIOSCIENCE, you should have the corresponding civil capacity. Once registered, you are presumed to have the corresponding civil capacity. If you do not have the corresponding civil capacity, you may only use UA BIOSCIENCE's services with the consent of your parents or other guardians. You and your parents or other guardians shall bear all consequences arising therefrom in accordance with the law.
2. UA BIOSCIENCE's services are not available to UA BIOSCIENCE members whose membership has been temporarily or indefinitely suspended.
3. Given the importance and professionalism of the various services provided by UA BIOSCIENCE, you confirm and agree that:
(1) All information provided to UA BIOSCIENCE is true, accurate, complete, legally valid, and you are willing to bear the corresponding legal responsibilities. If there are changes, you will promptly update them independently;
(2) If the registration information you provide is illegal, untrue, inaccurate, or incomplete, you shall bear the corresponding responsibilities and consequences arising therefrom;
(3) You will receive emails and messages from UA BIOSCIENCE. If you do not wish to receive them, you have the right to request unsubscription from us.
4. After successful registration, UA BIOSCIENCE will assign you a specific invitation code as your identification code for inviting others to register as UA BIOSCIENCE members.
5. Each mobile phone number can only be used to register one member account with UA BIOSCIENCE.
6. After successful registration, you will receive a member account name and an account password set by yourself.
7. You may change your password or apply for a password reset at any time according to the corresponding process.
8. You shall bear important responsibility for the security of your member account and password. If you discover any illegal use of your member account or security vulnerabilities on the UA BIOSCIENCE website, please notify us immediately.
9. UA BIOSCIENCE always reserves the right to suspend or terminate your UA BIOSCIENCE website account or membership.

III. Product or Service Orders

1. When you purchase products or services from UA BIOSCIENCE, you may choose to do so through UA BIOSCIENCE's website, email, phone, and other official channels, as well as other channels accepted by UA BIOSCIENCE.
2. When placing an order, you must carefully confirm the name, price, quantity, model, specifications, size, contact address, contact phone, recipient, shipping method, and other information of the product or service. If the recipient is not you personally, the recipient's actions and expressions of intent shall be deemed as your own actions and expressions of intent, and you shall bear joint liability for the legal consequences of the recipient's actions and expressions of intent.
3. You understand and agree that: The prices, advertisements, and statements of products or services displayed on the UA BIOSCIENCE website are merely invitations to offer. When placing an order on the UA BIOSCIENCE website, you must fill in or select the quantity, price, payment method, recipient, contact information, delivery address (place of contract performance), contract performance method, and other content of the products or services you wish to purchase. The website will automatically generate an order based on the content you fill in. The order you submit on the UA BIOSCIENCE website constitutes a contractual offer from you to UA BIOSCIENCE; you may also place orders with UA BIOSCIENCE through email, phone, or other channels accepted by UA BIOSCIENCE. Orders placed through such channels also constitute contractual offers to UA BIOSCIENCE.
4. After receiving your order, UA BIOSCIENCE will send you an email confirming that you have submitted the order, specifying the order details. Orders placed through the website can also be queried online for details, but there may be certain delays or inaccuracies in website information transmission. When we ship the product to you or perform the service you requested, it is deemed that we have accepted your offer, and the order contract is formally established. If you order multiple products or services in one order and UA BIOSCIENCE only ships some products or performs some services, a contractual relationship is established between you and UA BIOSCIENCE only for the products actually shipped or services actually performed. A contractual relationship for other products or services in the order is established only when UA BIOSCIENCE actually ships the other products or performs the other services. If you place an order with UA BIOSCIENCE for genuine needs and have paid the purchase price, the successful payment is deemed to establish a contractual relationship between you and UA BIOSCIENCE for the paid portion of the order.
5. UA BIOSCIENCE makes every effort to ensure that the prices, inventory, expiration dates, and other information of the products or services it operates are consistent and valid across all official channels. It will also make adjustments at any time according to market changes without special notice. However, due to factors that are difficult to control with reasonable commercial efforts, UA BIOSCIENCE cannot completely avoid situations where the information of products or services in your submitted order is deemed invalid by UA BIOSCIENCE. If the product or service you ordered is deemed invalid by UA BIOSCIENCE, UA BIOSCIENCE will communicate with you to adjust the order information. You also have the right to cancel the order, and UA BIOSCIENCE also has the right to cancel the order on its own. If you have already completed payment, you have the right to request a refund.
6. The prices stated and published by UA BIOSCIENCE for the products or services it operates include value-added tax (at China's standard rate) but do not include shipping costs. Shipping costs for products or services ordered from UA BIOSCIENCE are calculated separately and vary depending on the delivery method, location, etc. UA BIOSCIENCE will communicate shipping cost issues with you through official channels, including the waiver of shipping costs for certain products or services.
7. UA BIOSCIENCE reserves the right to limit the quantity of products or services you order.

IV. Delivery and Handover

1. Products purchased from UA BIOSCIENCE will be delivered to the shipping address you specified. The order status and logistics status listed in the order information are for reference only. The displayed delivery time is estimated based on inventory, average order processing and delivery times under various circumstances, delivery locations, and other factors.
2. You confirm and accept that the products you purchased will only be delivered after the contact person you filled in accepts identity verification. Losses caused by your change of contact person or relevant delivery information shall be borne by you.
3. UA BIOSCIENCE shall not be liable for order delays or delivery failures caused by the following circumstances:
(1) The member provides incorrect information and incomplete addresses;
(2) No one signs for the goods after delivery or the goods are refused, resulting in costs and related consequences of repeated delivery;
(3) Force majeure, including but not limited to natural disasters, extreme weather, traffic restrictions, government controls, accidental traffic accidents, strikes, terrorist incidents, robbery, snatch theft and other violent crimes, sudden wars, etc.
4. For products you purchased from UA BIOSCIENCE that are delivered by UA BIOSCIENCE's affiliates or third-party delivery companies (referred to as "delivery companies"), the delivery time shall be the sign-off time recorded by the system or documents; for products delivered by online transmission, the delivery time shall be the time when we send them to your designated system; for services you purchased, the delivery time shall be the time specified in the relevant electronic or physical vouchers.

V. Quality and After-Sales

1. The quality of products or services operated by UA BIOSCIENCE shall be governed by national standards or professional standards if available; if no such standards exist, by the manufacturer's enterprise standards; if no manufacturer's enterprise standards exist, it shall be determined through negotiation between you and UA BIOSCIENCE.
2. If the quality of products or services you purchased from UA BIOSCIENCE does not meet statutory standards or the standards agreed between UA BIOSCIENCE and you, you may request exchange or return based on relevant regulations or mutual agreements.
3. UA BIOSCIENCE makes every effort to ensure the highest quality after-sales service. Members are obligated to cooperate on after-sales issues and resolve related matters as quickly as possible.

VI. Ownership and Intellectual Property

1. The copyrights, patent rights, trademarks, trade secrets, and other corresponding rights related to the various products or services provided by UA BIOSCIENCE belong to UA BIOSCIENCE or its partners. Without legal permission or the consent of UA BIOSCIENCE or its partners, no unit or individual may copy, reproduce, scrape, link to, create derivative works, distribute, or publicly display the above related content. Otherwise, UA BIOSCIENCE has the right to pursue legal liability.
2. The information content published on the UA BIOSCIENCE website (including but not limited to text, charts, logos, images, audio, video, software) is the property of UA BIOSCIENCE or its content providers. The compilation of all content is the exclusive property of UA BIOSCIENCE and is protected by Chinese and international copyright laws.
3. You agree to transfer to UA BIOSCIENCE, exclusively and irrevocably, any transferable property rights and other transferable rights in any form of information content you publish on the UA BIOSCIENCE website (including but not limited to product reviews, service reviews, consultations, articles, posts, and other information content), including but not limited to: translation rights, reproduction rights, exhibition rights, distribution rights, screening rights, broadcasting rights, adaptation rights, compilation rights, and other transferable rights that should be enjoyed by the copyright holder. You agree that UA BIOSCIENCE has the right to independently file lawsuits for any infringement by any entity.
4. You agree and promise not to publish information already published on the UA BIOSCIENCE website in any form or authorize other entities to use it in any way (including but not limited to use on various websites and media).

VII. Member Personal Information Protection and Authorization

1. You understand and accept that to provide you with better services, UA BIOSCIENCE will store necessary information during your use of corresponding services, including but not limited to your real name, contact information, gender, birthday, delivery address, location information, etc. UA BIOSCIENCE adopts professional encrypted storage and transmission methods for your relevant personal information and uses reasonable measures to ensure the security of all member personal information. Except as required by national laws and regulations, UA BIOSCIENCE will not disclose, share, or make public your personal information to third parties without your permission.
2. You understand and accept that when registering as a UA BIOSCIENCE member or using UA BIOSCIENCE's services online or offline, you need to provide true identity information. UA BIOSCIENCE has the right to conduct real identity authentication based on mobile phone numbers in accordance with relevant national laws and regulations. If the information you provide is untrue or incomplete, you may not be able to use UA BIOSCIENCE's services or may encounter obstacles or restrictions during use. You shall bear the adverse consequences arising therefrom.
3. When you use a specific service of UA BIOSCIENCE, the service may have separate agreements, relevant business rules, and operating systems (hereinafter collectively referred to as "separate agreements"). You must read and agree to the relevant separate agreements before using the service; your use of the specific service implies that you have read, understood, and agreed to accept the relevant separate agreements. In case of conflict between relevant separate agreements and this Agreement, the content of the relevant separate agreements shall prevail.
4. You understand and accept that:
(1) UA BIOSCIENCE is obligated to cooperate with administrative supervision organs and judicial organs in their work and is obligated to provide relevant national organs with information stored during your use of UA BIOSCIENCE's services within the scope of legal provisions, or to use relevant information for legitimate evidence preservation activities;
(2) UA BIOSCIENCE legally guarantees your right to know and right to choose when using UA BIOSCIENCE's services. For functions inherent to your electronic device, UA BIOSCIENCE will obtain your prior consent. After your confirmation and consent, UA BIOSCIENCE has the right to enable necessary auxiliary functions for providing services, including but not limited to collecting geographic location, reading contacts, using cameras, enabling recording, etc.;
(3) UA BIOSCIENCE has the right to determine, based on actual circumstances and in compliance with legal provisions, the maximum storage period and storage method of your data in the UA BIOSCIENCE website and servers.

VIII. Network Security

1. Without UA BIOSCIENCE's written permission, no unit or individual may use any robot, malware, or other automated means to access UA BIOSCIENCE's servers or automatically scrape website data.
2. No unit or individual may engage in any behavior that will cause or may cause (as determined by UA BIOSCIENCE at its discretion) unreasonable or disproportionate significant load on the UA BIOSCIENCE website.
3. No unit or individual may use any computer viruses, Trojans, spyware, or destructive programs on the UA BIOSCIENCE website.
4. If you use software services downloaded from UA BIOSCIENCE, you should download and use them strictly in the manner and channels designated by UA BIOSCIENCE, and promptly update relevant programs. UA BIOSCIENCE shall not be responsible for losses caused by improper personal operation by members.

IX. Member Code of Conduct

1. You shall bear legal responsibility for your online statements and actions. If you distribute or disseminate reactionary, pornographic, or other information that violates national laws on the UA BIOSCIENCE website, UA BIOSCIENCE's system records will serve as evidence of your violation, and UA BIOSCIENCE has the right to delete or block such content at its own discretion.
2. This Agreement is formulated in accordance with relevant national laws, regulations, and rules. You agree and commit to fulfilling the following obligations:
(1) Not to publish statements on the UA BIOSCIENCE website that violate the constitution or laws, incite subversion of state power, overthrow the socialist system, undermine national unity, or incite ethnic hatred and undermine ethnic unity;
(2) Not to use the UA BIOSCIENCE website for money laundering, theft of trade secrets, theft of personal information, or other illegal and criminal activities;
(3) Not to interfere with the normal operation of the UA BIOSCIENCE website or illegally intrude into website servers;
(4) Not to publish any illegal, criminal, harassing, discriminatory, abusive, intimidating, harmful, vulgar, obscene, or uncivilized information on the UA BIOSCIENCE website;
(5) Not to publish information or statements on the UA BIOSCIENCE website that harm national and social public interests or involve national security;
(7) Not to incite others to engage in the prohibited behaviors described in this Article on the UA BIOSCIENCE website;
(8) Not to publish any content on the UA BIOSCIENCE website that infringes on others' privacy, personal information, copyrights, trademark rights, and other intellectual property or legitimate rights.

X. Transfer

1. You agree that the rights attributable to UA BIOSCIENCE in this Agreement and all incorporated agreements may be transferred by UA BIOSCIENCE to third parties at its discretion. Where your personal information is involved, the relevant provisions of the UA BIOSCIENCE Privacy Policy shall apply;
2. UA BIOSCIENCE will notify you of the transfer.

XI. Account Cancellation

1. You have the right to apply to UA BIOSCIENCE for account cancellation at any time. After successful account cancellation, UA BIOSCIENCE will stop providing all services to you and delete your personal information upon your request, unless otherwise provided by laws and regulations.
2. After cancelling your UA BIOSCIENCE member account, you will not be able to log in to the UA BIOSCIENCE website using the original account, original verification phone, or email. At the same time, you voluntarily waive account information, membership benefits, virtual assets, and other rights, which cannot be restored.
3. You understand and agree that after cancelling your account, UA BIOSCIENCE will not be able to assist you in restoring the aforementioned services. Canceling your account may cause many inconveniences to your after-sales rights protection. Before proceeding, please ensure that your account has no disputes, and independently back up all information and data related to your UA BIOSCIENCE account, and download and save transaction vouchers, receipts (such as electronic invoices), and other materials for orders. UA BIOSCIENCE will store your order information in accordance with legal requirements but will not provide free inquiry services.
4. During the account cancellation period, if your account is involved in disputes, including but not limited to complaints, reports, litigation, arbitration, or investigations by competent national authorities, UA BIOSCIENCE has the right to terminate the account cancellation without further consent from you.
5. By cancelling your account, you are deemed to agree to this Article. If you have objections to this Article, you should immediately stop the account cancellation process.
6. Cancelling your UA BIOSCIENCE account does not mean that account behaviors and related responsibilities before cancellation are exempted or reduced.

XII. Suspension and Termination of Services

UA BIOSCIENCE has the right to suspend or terminate services to you without notice if any of the following circumstances occur:
1. The personal information you provided is untrue;
2. You violate legal provisions or agreement terms;
3. As required by government regulatory authorities;
4. Your account has not been logged in for 1 consecutive year after registration, and there is no valid active business;
5. Your UA BIOSCIENCE account is transferred or sold to other parties;
6. We discover that you maliciously registered accounts or we receive third-party complaints and the third party has provided corresponding evidence;
7. You exploit loopholes in UA BIOSCIENCE's rules or network system to maliciously place orders, damaging UA BIOSCIENCE's rights and interests;
8. Other special circumstances that we consider not meeting genuine and reasonable needs.

XIII. Notices

1. When registering as a UA BIOSCIENCE member and receiving related services, you should provide UA BIOSCIENCE with true and valid contact information (including your email address, phone number, contact address, etc.). If your contact information changes, you should promptly update the relevant information to maintain contactability. If notifications are not delivered in a timely manner or cannot be delivered due to inaccurate contact information you provided or failure to promptly notify changes, you shall bear the possible legal consequences.
2. UA BIOSCIENCE may send you notices through one or more of the contact methods you provided, including but not limited to announcements on the UA BIOSCIENCE official website, sending you SMS, emails, letters, and system messages to your account. Notices sent electronically are deemed delivered upon successful sending; notices sent on paper are deemed delivered on the fifth natural day after mailing; if notices are sent through multiple methods simultaneously, the delivery time shall be the earliest delivery.

XIV. Legal Jurisdiction and Others

1. The provisions of this Agreement are severable. If any individual provision of this Agreement is ruled invalid or unenforceable, that provision may be deleted and the remaining provisions shall continue to be valid.
2. If any dispute arises between the parties regarding the content or execution of this Agreement, the parties shall endeavor to resolve it through friendly negotiation; if negotiation fails, the case shall be filed with the people's court having jurisdiction over the place where the agreement was signed. This Agreement is signed in Xuhui District, Shanghai, China.
3. After reading this Agreement, by checking the "Accept" box on the registration page, you are deemed to have fully accepted this Agreement.
